1. Scope and Order of Precedence

1. These AppSumo Terms govern the redemption and use of Lifetime Access obtained through the Deal. They do not replace the Terms or the Fair Use Policy, which continue to apply in full.
2. Lifetime Access is tied to the account that redeemed the AppSumo code(s). You must redeem your code(s) within any window stated on the AppSumo deal page and create or link an Octonity account to activate the entitlement.
3. Where these AppSumo Terms and the official AppSumo deal page differ on the scope of the Deal itself (for example, the tier features, quantities, or price you purchased), the AppSumo deal page as published at the time of your purchase controls, to the extent permitted by applicable law. Nothing on this page is intended to expand, reduce, or contradict what the deal page promises.

2. What Lifetime Access Means

“Lifetime Access” means access to the Octonity product for the operational lifetime of that product, subject to and limited by: (i) the specific plan/tier you purchased; (ii) these AppSumo Terms; (iii) the Terms; (iv) the Fair Use Policy; and (v) the continued availability of the third-party services on which the Services depend (see section 7).

“Lifetime” refers to the lifetime of the Octonity product, not the lifetime of the purchaser, and does not create a perpetual, guaranteed, or irrevocable right that survives discontinuation of the product (see section 12). Lifetime Access means you are not charged a recurring subscription fee for the features included in your purchased tier for as long as the product remains available.

3. What Lifetime Access Is NOT

To avoid any misunderstanding, Lifetime Access does not include or guarantee any of the following:

1. unlimited AI usage, AI credits, or AI-assisted generation of any kind;
2. unlimited image, video, or other media generation;
3. unlimited storage, bandwidth, or exports;
4. unlimited workspaces, brands, social accounts, connected channels, scheduled posts, or team seats;
5. access to every future premium feature, module, product, or add-on Octonity may release;
6. any specific AI model, provider, model version, or level of AI quality or speed;
7. uninterrupted or permanent availability of any third-party integration (see section 7); or
8. a service level, uptime, or support level beyond what is stated for your tier.

Everything included in your Lifetime Access is bounded by the tier limits in section 4 and the Fair Use Policy.

4. Tier Limits and Credits

Your Lifetime Access is limited to the quotas of the AppSumo tier you purchased. Unless a limit is expressly stated as unlimited on the AppSumo deal page, every resource below is capped at the value shown for your tier. Octonity meters usage against these limits.

If a value is unlimited on the deal page, state “Unlimited” here and nowhere rely on “unlimited” for AI, storage, or third-party-dependent resources.]

1. No roll-over. AI credits and any other periodic (e.g. monthly) allowances reset at the start of each period. Unused monthly credits or allowances do not roll over or accumulate into a later period unless expressly stated on the AppSumo deal page or in your account.
2. Metering and definitions. Octonity determines in good faith what constitutes one AI credit, one export, one scheduled post, and similar units, and may publish or update these definitions in-product. Credit values may change as described in section 6.
3. Reaching a limit. When you reach a tier limit, the affected feature may be paused until the next period, until you purchase additional capacity (section 5), or until you free up the resource (e.g. reduce storage). Reaching a limit is not a defect in the Services.

5. Add-ons Sold Separately

Additional capacity and premium items are not included in Lifetime Access and may be offered for separate purchase, including but not limited to: additional AI credits, additional storage, additional workspaces, brands, social accounts or team seats, premium or third-party templates and template kits, and premium add-ons or modules. Pricing and availability of these items are set by Octonity and may change over time. Buying Lifetime Access does not entitle you to these items at a discounted or fixed price unless expressly stated on the AppSumo deal page.

6. AI Usage and Model Changes

Octonity’s AI features depend on third-party AI providers and on evolving technical, legal, and commercial conditions. Octonity may, acting reasonably and where practicable with notice, modify the AI models used, the value or definition of an AI credit, the rate limits that apply, or the specific AI functionality offered, and may substitute equivalent or comparable functionality, for any of the following reasons:

1. availability, deprecation, or pricing changes imposed by an AI provider;
2. compliance with applicable law or a regulator’s or provider’s requirements;
3. security, safety, or abuse-prevention needs;
4. technical limitations or performance and reliability constraints; and
5. the long-term financial and operational sustainability of the Services.

Octonity will aim to keep AI functionality broadly equivalent for your tier but does not guarantee any particular model, provider, output quality, speed, or credit value over the life of the product. Nothing in your Lifetime Access is a promise of unlimited AI usage.

7. Third-Party Platform Dependencies

The Services integrate with third-party platforms including Meta, Facebook, Instagram, TikTok, LinkedIn, YouTube, X (formerly Twitter), Pinterest, and other supported platforms (each a “Platform”). These integrations rely on each Platform’s APIs, developer terms, and continued authorisation, none of which Octonity controls.

A Platform may at any time change, restrict, deprecate, price, or remove the API access, permissions, or features that a given integration depends on. If that happens, the affected integration may change, degrade, be temporarily unavailable, or be discontinued. Octonity will make reasonable efforts to maintain and restore integrations but does not guarantee that any Platform integration will remain available for the lifetime of the product, and the loss or change of a Platform integration is not a breach of these AppSumo Terms and does not entitle you to a refund from Octonity.

8. Future Features and Updates

Lifetime Access includes ongoing updates, fixes, and improvements to the features that are part of your purchased tier. It does not automatically include, and Octonity may offer separately for a fee, any of the following unless expressly included on the AppSumo deal page:

1. future premium modules or separate products;
2. marketplace items, premium templates, or template kits;
3. advanced or higher-cost AI models or AI capabilities;
4. enterprise features (e.g. SSO, advanced audit-log retention, SLAs);
5. white-label or custom-branding functionality;
6. custom or bespoke integrations; and
7. other paid add-ons.

Whether a given release is an update to an included feature or a new premium offering is determined by Octonity acting in good faith and consistently with the AppSumo deal page.

9. Fair Use

Lifetime Access is subject to Octonity’s Fair Use Policy. In particular, Lifetime Access must not be used for spam, scraping, automated abuse, excessive or automated AI usage beyond your tier, account sharing beyond your plan limits, resale, or any attempt to bypass tier limits, and must not create a disproportionate technical or financial burden on the Services. Octonity may throttle, suspend, or terminate access for breaches of the Fair Use Policy as described there and in the Terms.

10. No Transfer or Resale

Lifetime Access is granted to you for your own use and is personal, non-transferable, and non-assignable. Except where AppSumo expressly permits a one-time transfer through its own platform and process, you may not sell, resell, sublicense, rent, lease, share, gift, or otherwise transfer your Lifetime Access, your AppSumo code(s), or your Octonity account to any third party. Sharing a single account among multiple people or organisations to circumvent tier limits is not permitted (see the Fair Use Policy). Any prohibited transfer or resale is void and may result in suspension or termination without refund.

11. Refunds

Refunds for the Deal are handled by AppSumo in accordance with the refund policy stated on the official AppSumo deal page and applicable law. Please raise refund requests through AppSumo. Because the Deal is purchased through AppSumo and not directly from Octonity, Octonity does not itself process Deal refunds except where required by law or where separately agreed in writing. Any statutory withdrawal or cancellation rights you may have under applicable law are unaffected by this section.

12. Product Discontinuation

Lifetime Access lasts for the operational lifetime of the Octonity product and ends if the product is discontinued. If Octonity decides to discontinue the product, Octonity will use reasonable efforts to:

1. give affected Lifetime Access users at least sixty (60) days’ prior notice by email or in-product notice; and
2. provide a means to export your data in a commonly used, machine-readable format, where technically feasible.

Discontinuation for reasons of law, safety, security, or circumstances outside Octonity’s reasonable control (see the force-majeure provision of the Terms) may occur on shorter notice where a 60-day notice is not reasonably possible. Discontinuation of the product ends Lifetime Access and, of itself, does not create a right to a refund from Octonity; any refund is governed by section 11 and applicable law.

13. Changes to These AppSumo Terms

Octonity may update these AppSumo Terms in line with section 11 (Modification of Terms and Services) of the Terms — for example to reflect the final deal page, legal requirements, or changes to third-party services. Material changes will be notified as set out in the Terms. Changes will not retroactively reduce the core entitlement described on the AppSumo deal page at the time of your purchase, except where required by law or necessary for the reasons described in sections 6, 7, and 12.
